What Are Articles of Organization?

All companies aren’t created equally, which is why there are articles of organization. This type of paperwork is a lot different from articles of incorporation in one major way: it can help a company become a limited liability company (LLC) rather than a corporation. Articles of organization outline the governance of an LLC along with the operating agreement and the corporate status in the state where the paperwork is filed. 

The biggest difference is that an LLC isn’t considered a corporation, meaning there is a limited personal liability while still allowing profits and losses to pass directly to its members. Those in an LLC are still responsible for the company, unlike a corporation which becomes a fictional person that is accountable for its actions.
